Lowest price guaranteed

Found cheaper? We match it — see conditions. Every service also carries a 30-day money-back guarantee.

Every invoice you've sent has your name on it. Not just the business's — yours, personally, whether you meant it that way or not.

Customers, invoices, maybe staff — all already real. What isn't real yet is any legal separation between you and the business carrying them.

4

things that don't come across just because the company is incorporated

What actually moves when the business becomes a Sdn Bhd

Four things, moved individually, or not moved at all

CONTRACTS

Every contract you've signed

Stays signed by the sole proprietorship. The Sdn Bhd isn't a party to it until it's individually novated or re-signed — the counterparty has to agree, not just be told.

BANK

The business bank account

Doesn't become the company's account. The Sdn Bhd opens its own, from its own incorporation documents and resolutions.

LICENCES

Licences, permits & registrations

Held in the old business's name stay held by it until each issuing authority reissues or transfers them to the new company.

STAFF

Anyone already employed

Is employed by the sole proprietorship, not automatically by the Sdn Bhd. Continuity has to be preserved deliberately when the employer changes.

+ none of this happens because the company gets incorporated — incorporation only creates the new legal person; everything above still has to be moved into its name separately

+ skip one and it doesn't fail loudly — a contract just keeps being owed to the wrong entity, or a licence lapses quietly under a business nobody's checking anymore

What actually separates you from the business, right now

A sole proprietorship has several things that look like separation. Add them up and see what's actually left:

A registered business namenot a separate legal person
A dedicated business bank accountstill legally your account
Invoices issued in the business's namestill legally issued by you
Legal separation between you and the businessNone

That's not an oversight or a loophole to close — it's what a sole proprietorship is. One registration, held by one person: you.

The Sdn Bhd doesn't inherit the sole proprietorship's file — it starts its own

A sole proprietorship and a Sdn Bhd aren't the same legal person before or after conversion — incorporating the company creates a new one. Nothing attached to the old business moves to the new one automatically; each contract, account, licence and employment relationship has to be individually moved, reissued or re-signed.

A sole proprietorship has no legal personality separate from its owner — in law, the business and the person are the same. A company incorporated under the Companies Act 2016 is, from the moment of registration, a distinct legal person from the people who own and run it. That's exactly why nothing carries across automatically: the Sdn Bhd isn't the old business continuing under a new name, it's a different legal person that has to be given each contract, account, licence and employment relationship on its own.

The one question that decides this

Anyone can register a new Sdn Bhd. Almost nobody tracks what still has to move into it before the old business can stop trading.

What happens after the company is registered

On the incorporation itself, an incorporation agent and OCTIS do exactly the same job:

An incorporation agent
Runs the SSM name search and reserves it
Incorporates the Sdn Bhd with SSM
Appoints a licensed company secretary
Drafts the constitution and first resolutions
The file closes once the company is registered — whatever moves next, a contract, a licence, the bank account, gets tracked wherever the next provider happens to keep records, disconnected from the file that formed the company
OCTIS
Runs the SSM name search and reserves it
Incorporates the Sdn Bhd with SSM
Appoints a licensed company secretary
Drafts the constitution and first resolutions
The company's registers, licences and filings live in the same account from incorporation onward — so what's moved across is recorded in the one place already holding everything else the company has

The real order, and why it isn't optional

This is the actual sequence — most of it can't happen out of order, whatever gets promised:

1

Sdn Bhd incorporated & registered with SSM

nothing else on this list can start before this — a company can't hold a bank account, a licence or a contract until it legally exists

2

Company bank account opened

banks ask for the incorporation documents and the first resolutions — both only exist after step one

3

Licences, contracts and registrations moved individually

each counterparty and each authority decides whether to novate, reissue or re-sign — nothing here transfers by itself

4

The old business stops invoicing only once the new one can

stop earlier and there's a gap where neither entity can legally bill; stop later and income keeps landing on the entity you're leaving

The one moment that starts the clock on everything else

Not yet incorporated — no bank account, no licence transfer, no contract novation can begin
Incorporated — every one of those becomes possible, none of them automatic

Registering the company doesn't move anything into it. It just makes moving things into it possible for the first time.

The document that moves an asset between the two entities

If the sole proprietorship holds something the company needs to own instead — equipment, stock, a vehicle, IP — this is what formally moves it:

RM 3,000, fixedwhat we chargeno published market rate to compare against

There's no published market rate for this — every asset transfer is specific to what's actually changing hands, so nothing to anchor against. Drafted by licensed lawyers on our panel; the price doesn't move once agreed.

What moving the company's records into your dashboard costs

RM 0

separate onboarding fee. Bringing the new company's registers, licences and filings into your dashboard is already inside the plan, whichever tier you're on.

The plan the Sdn Bhd runs on, once it exists

Essential is Launch plus more. Professional is Essential plus more — the secretary and the platform are in all three, the incorporation and the move across sit before them:

PlanWhat's included
Launch — RM 80/mo, billed annuallyLicensed company secretary, registered office address, statutory registers & lodgement reminders, e-signature, up to 3 shareholders & 3 directors
Essential — RM 120/mo, billed annuallyEverything in Launch, plus invoicing and 1M AI tokens/month, up to 5 shareholders
Professional — RM 180/mo, billed annuallyEverything in Essential, plus up to 10 seats & 10M AI tokens/month, up to 6 directors & 8 shareholders

This is what the company runs on once it exists — the incorporation and the move across are the separate, one-time steps before it. Most conversions start on Launch and move up once the new company is trading properly.

Who does the work

OCTIS's own licensed company secretary

The incorporation, the registers and the licensed secretarial appointment are handled by OCTIS's own licensed company secretary — not a referred third party.

Guarantee

Not claimed on this page

This conversion does incorporate a new Sdn Bhd, and whether that counts as the published guarantee's 'New Company Incorporation' is being confirmed — until then, this page doesn't claim it. Cancel any month is what applies without qualification.

Not included

SSM's own government fees

Charged by SSM directly for the incorporation lodgement and any licence-related filings — not part of the monthly plan.

If an asset needs moving

Asset Transfer Agreement — RM 3,000, one-off

Only needed if the old business holds something — equipment, stock, IP — that needs to formally become the new company's. Drafted by licensed lawyers on our panel, priced separately from the plan.

Not covered

  • SSM's own government fees for incorporating the new company and for any licence-related filings are charged by SSM directly — not part of the monthly plan.
  • The 30-day money-back guarantee is not claimed on this page. It covers exactly two services under the published Appendix, and whether a sole-proprietorship conversion's incorporation step qualifies as one of them is being confirmed. What applies here without qualification instead: no lock-in, cancel any month, and your records leave with you.
  • If the business is still small enough that unlimited personal liability isn't yet a real exposure — few or no contracts, no debt, no employees — converting now mostly buys structure you don't need yet. There's no penalty for waiting until the exposure is real.
  • The Asset Transfer Agreement (RM 3,000) only applies if the old business holds an asset that needs to formally become the new company's. Most conversions don't need it, and it isn't something to buy reflexively.
  • Converting doesn't do the outreach for you. Telling existing customers, suppliers and any licensing authority that you're now trading as a different legal entity is still a conversation you have to have — we handle what has to be filed and drafted, not the calls and emails that come before it.
What is OCTIS?

A business-in-a-box app. Every service a company needs, such as accounting, tax, audit and company secretary, is ordered, tracked and delivered in one place.

Is the lowest price guarantee real? How does it work?

Yes. Moving to OCTIS from another firm? Send us your current bill. We match the price, or take 10% off it. Move more services and you save more: 10% for one, 20% for two, 25% for all three (accounting and bookkeeping, audit, tax).

Is the money-back guarantee real? How does it work?

Yes, on every OCTIS service. Ask in writing within 30 days of paying. Read the Money-Back Guarantee terms

How does OCTIS help me get more done?

One app and one chat instead of a firm for each service. You upload a document once, and you see where every order stands without asking.

How does OCTIS help me cut extra costs?

We automate the whole process, so your company's compliance and the back-and-forth cost less to run. That is why we can charge less and deliver faster. A live company health check in the app also shows where you are spending more than you should, alerts you, and suggests a better option that costs less.

How does OCTIS help me keep risk under control?

Reminders for your company's deadlines, so nothing is missed, and a professional legal team when you need one.

Is everything in OCTIS done by AI?

No. Licensed professionals do the work. AI helps them work faster, and helps you understand and analyse your own company quickly.

The business was never separate from you. Registering the company is what makes separation possible — but only for what's actually moved into it.

Tell us about the sole proprietorship and what it trades as. We incorporate the Sdn Bhd, and map what still has to move — in the order it actually has to happen.
