What business structure should I choose in Malaysia: sole proprietorship, partnership, LLP or Sdn Bhd?

Pick based on liability, who owns it and how credible you need to look. A sole proprietorship or partnership is cheapest but the owners are personally liable; an LLP or a Sdn Bhd gives a separate legal entity. A Sdn Bhd is the usual choice once you hire staff, sign larger contracts or bring in investors.

Malaysia has four common structures for a small business:

  • Sole proprietorship: one owner, registered with SSM under the Registration of Businesses Act 1956. No separation between you and the business.
  • Partnership: two or more people under the same Act. Each partner is personally liable. The Companies Act 2016 (s.13) bars a business partnership of more than 20 persons unless it is incorporated.
  • Limited liability partnership (LLP): registered under the LLP Act 2012. It is a separate legal entity, usually used by professional or small partner-run businesses.
  • Private company (Sdn Bhd): a company limited by shares with one or more shareholders and at least one director.
  • Public company (Bhd): can raise money from the public and has stricter rules.

Questions to ask yourself:

  1. Can I afford to lose personal assets if the business is sued or fails?
  2. Will customers, banks or tenders expect a company?
  3. Do I want investors or employees to hold shares?
  4. Am I ready for the yearly filing duties a company carries?

If the answers lean towards "protect myself" and "look credible", a Sdn Bhd usually fits. For tax differences between structures, ask a tax adviser.
