When is the annual return due for a Sdn Bhd in Malaysia?
A company must lodge its annual return with SSM within 30 days from the anniversary of its incorporation date, every calendar year. It does not apply in the calendar year the company is incorporated. The return is signed by a director or secretary.
Companies Act 2016, s.68 sets the rule:
- Lodge an annual return for each calendar year, no later than thirty days from the anniversary of the incorporation date (s.68(1)).
- It is not required in the calendar year of incorporation (s.68(2)).
- It must be signed by a director or the secretary (s.68(5)).
- The due date is tied to the incorporation anniversary, not your financial year end or your AGM date. For example, a company incorporated on 15 March has its anniversary on 15 March each year, so the return is due by 14 April.
Content (s.68(3)) includes registered office, nature of business, where records are kept, summary of shareholding, total indebtedness, particulars of directors, secretaries and auditors, and the list of members.
If nothing has changed since the last return, a director or secretary may lodge a signed statement certifying no change (s.68(6)).
Older guides refer to the Companies Act 1965 rule (return tied to the AGM). That no longer applies. SSM's fee to lodge a private company's annual return is RM150. The 2024 amendment also adds to the annual return the address where the beneficial owners register is kept, if not at the registered office (s.68(3)).
