When must a private company lodge its financial statements with SSM?

A private company must circulate its financial statements to members within six months of its financial year end, then lodge them with SSM within 30 days of circulation. Late lodgement is an offence with a fine of up to RM50,000 plus daily fines. Whether an audit is needed is a separate question.

Step 1: circulate. For a private company, the financial statements and reports must be circulated to members within six months of the financial year end (Companies Act 2016, s.258(1)(a)).

Step 2: lodge. The company must then lodge them with SSM within thirty days from the date they are circulated (s.259(1)(a)). For a public company the 30 days run from the AGM (s.259(1)(b)).

Other points

  • Amounts must be in Malaysian ringgit; translations are needed if not in Malay or English (s.259(1)(c)).
  • You can apply for an extension before the period expires, and the Registrar may grant one (s.259(2)).
  • Offence for officers: a fine of up to RM50,000 plus up to RM1,000 for each day after conviction (s.259(3)).
  • Lodgement is separate from the annual return, with different deadlines.

Pointers

Directors must prepare the financial statements (s.248). Whether your company needs an audit or qualifies for an exemption is covered in the audit section of this knowledge base; do not assume lodging unaudited accounts is allowed without checking.
